Public offer agreement

1. General Provisions

1.1. This agreement is an official and public offer of the Seller to conclude a contract of sale of Goods presented on the website https://shop.alfainterplast.com.ua/. This agreement is public in accordance with Articles 633 and 641 of the Civil Code of Ukraine, is identical for all Buyers, and holds equal legal force to a written contract.

1.2. By effecting the Acceptance (placing an order or making a payment), the Buyer confirms full and unconditional consent to all terms and conditions of this Agreement.

2. Terms and Definitions

2.1. Seller — Alfainterplast Limited (hereinafter referred to as Alfainterplast Ltd.).

2.2. Buyer — any legally capable individual, individual entrepreneur (FOP), or legal entity that has accepted the terms and conditions of this Agreement.

2.3. Goods — products offered for sale on the Website.

2.4. Website — the web page at https://shop.alfainterplast.com.ua/, including all its subdomains.

2.5. Acceptance — full and unconditional consent of the Buyer to the terms and conditions of this Agreement by clicking the "Place Order" or "Buy" button, or by actual payment for the Goods.

3. Subject of the Agreement

3.1. The Seller undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to pay for and accept the goods in accordance with the terms and conditions of this agreement.

3.2. This Agreement regulates the sales and purchase relations in the online store, including:

  • voluntary choice of Goods by the Buyer on the Website;
  • independent placement of the order by the Buyer;
  • payment for the order by the Buyer;
  • delivery and transfer of the order to the Buyer.

4. Ordering Procedure

4.1. The order is placed through the website or by any other method suggested by the Seller.

4.2. The Buyer is responsible for the accuracy of the provided data.

4.3. After the order is placed, a manager may contact the Buyer to clarify the details.

4.4. In the absence of the ordered Goods in stock, the Seller has the right to cancel the order (or part of it), having previously notified the Buyer and refunded the paid funds in full.

5. Pricing

5.1. The price of each individual item of Goods is determined by the Seller and specified on the Website in the national currency of Ukraine (hryvnia).

5.2. The cost of the Goods is fixed at the moment the order is confirmed by the Seller.

5.3. The delivery cost is not included in the price of the Goods and is paid by the Buyer separately according to the tariffs of the logistics operator, unless otherwise provided by promotional terms on the Website.

6. Payment Procedure

6.1. Payment is made by the methods specified on the "Payment and Delivery" page.

7. Delivery and Transfer of Goods

7.1. Delivery of Goods is carried out by logistics companies (carriers) throughout the territory of Ukraine (except for temporarily occupied territories) or via self-pickup from the Seller's official store, as specified on the "Payment and Delivery" page.

7.2. Delivery times are determined by the carrier.

7.3. The risk of accidental damage or loss of the Goods passes to the Buyer from the moment the Goods are transferred to the carrier or the Buyer, unless otherwise provided by the legislation of Ukraine.

8. Exchange and Return of Goods

8.1. Exchange and return of goods are carried out in accordance with the current legislation of Ukraine.

8.2. Returns terms and conditions are outlined on the "Exchange and Return" page.

9. Rights and Obligations of the Parties

9.1. The Seller is obliged to:

9.1.1. Transfer the goods to the Buyer in accordance with the terms of this Agreement and the Buyer's order.

9.1.2. Not disclose any private information about the Buyer and not provide access to this information to third parties, except as provided by law and during the execution of the Buyer's Order.

9.2. The Seller has the right to:

9.2.1. Change the terms of this Agreement, as well as prices for Goods and services, unilaterally by placing them on the Online Store website. All changes take effect from the moment of their publication.

9.3. The Buyer undertakes to:

9.3.1. Prior to concluding the Agreement, familiarize themselves with the content of the Agreement, its terms, and the prices offered by the Seller on the Online Store website.

9.3.2. For the Seller to fulfill its obligations to the Buyer, the latter must provide all necessary data that uniquely identifies them as the Buyer and is sufficient for the delivery of the ordered Goods to the Buyer.

10. Liability of the Parties and Force Majeure

10.1. The Parties shall be held liable for non-fulfillment or improper fulfillment of the terms of this Agreement in accordance with the current legislation of Ukraine.

10.2. The Seller is not responsible for the actions or delays of delivery services (carriers).

10.3. The Parties shall be released from liability for non-fulfillment of obligations in the event of force majeure circumstances, which are confirmed by a certificate from the Chamber of Commerce and Industry of Ukraine or its regional branches.

10.4. The Party that cannot fulfill its obligations shall immediately notify the other Party.

11. Confidentiality and Personal Data Protection

11.1. By placing an order, the Buyer provides Alfainterplast Ltd. with voluntary consent to the collection and processing of their personal data in accordance with the Law of Ukraine "On Personal Data Protection" for the purpose of ensuring the execution of the terms of this Agreement and maintaining accounting records.

12. Other Terms

12.1. This agreement is concluded on the territory of Ukraine and operates in accordance with the current legislation of Ukraine.

12.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. In case of failure to reach a settlement through negotiations, the Buyer and/or the Seller have the right to apply for dispute resolution to a court in accordance with the current legislation of Ukraine.
